If you're using XP, TrueCrypt is the way to go. Take a look at TrueCrypt at truecrypt.org -- it's free, open-source, and fairly easy to use. You can use it to encrypt (password-protect) an entire flash drive partition or -- and I like this method better -- it allows you to create an encrypted volume within a flash drive, and it will put the necessary driver and software in an autorun (it calls this "travel mode") so that you can have a secure and insecure space on the same flash drive and not mess with installing a bunch of software on every computer you happen to use.

When I used Windows, I used truecrypt a lot and I really like it. Now that I use Mac OS X mostly, I have an encrypted disk image on my flash drive that I used the built-in OS X Disk Utility to create. Have fun!.
