Yes Yes it will. The EF-S lenses fit only on the Rebel and 20D, 30D & 40D bodies. So the lens will fir no problem.
A few things to think about. Do you really need a lens that is that wide angle? Most people I know don't use it that wide very often!
At full wide angle its wider than your eye will see..... Keep that in mind. I would suggest you also look at the Canon 17-40 F4 L series. Its a super sharp lens, and the optics are superb!
I use mine a lot. I bought mine back when I still was shooting on a 20D and wanted a high quality wide angle. I like the 17-40 over the 17-403 F2.8 myself.
For most people they don't need a 2.8 for wide angle shots, and you are paying double for that 1 stop... And the original 17-403 was soft at full wide where the 17-40 is not. Also not matter what wide angle you get, you will need to get a Slim UV filter to go on it, and also a Slim circular Polarizer, or else you will see vinetting and that will ruin your wide shots.! I would suggest getting either the Heliopan or the B+W, as both are made from ground optical glass, and will not lower the image quality, unlike most the other (yes even the top Hoyas are still using standard glass which is a lower grade glass and hinders the optics of the lens). Stop by your local camera shop, and take your 40D in with you and take a few shots with both the 10-22, and the 17-40 L and compare.
Also keep in mind, the wider the shot, the more distortion your image will have or appear to have, so keep that in mind. I also carry a 14mm lens with me, and I enjoy it, but you have to get use to the look you get from it, where as I use the 17-40 a lot and also my 24-105 F4 L IS a lot as well. Hope this helps.

Yes The 40d isnt a full-frame camera which is what the EF-S lenses are designed for. Its a very good lens and a great camera :) .

I cant really gove you an answer,but what I can give you is a way to a solution, that is you have to find the anglde that you relate to or peaks your interest.
