Why does the American Tax Code (IRS)penalize American Companies for money they've made oversea?

Some Franklin Funds are tax exempt and if that is what you are withdrawng, it is not taxable, not now or ever I don't know what the a and c class would be so Franklin has either indicated to you or you need to ask them if they are taxable funds.

I cant really gove you an answer,but what I can give you is a way to a solution, that is you have to find the anglde that you relate to or peaks your interest.
